End User Agreement

1. Acceptance of this agreement
This End User Agreement (the "Agreement") is a binding contract between you and Run The Crew ("Run The Crew," "we," "us," or "our") and governs your access to and use of our field service management platform, including our dispatcher dashboard, mobile apps for technicians, and any related software, APIs, or services (collectively, the "Service").
By creating an account, installing our mobile app, or otherwise using the Service, you agree to be bound by this Agreement. If you are using the Service on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" refers to both you and that organization.
2. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use the Service. The Service is intended for use by field service businesses (such as HVAC, plumbing, and electrical contractors) and their employees and subcontractors.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly at hello@runthecrew.com if you suspect any unauthorized use.
3. License grant
Subject to your compliance with this Agreement, Run The Crew grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business purposes during the term of your subscription or early-access engagement.
You may not: (a) copy, modify, or create derivative works of the Service; (b) reverse engineer, decompile, or attempt to extract the source code of any software we provide; (c) resell, rent, lease, or otherwise make the Service available to third parties outside your organization; (d) remove or obscure any proprietary notices; or (e) use the Service to build a competing product.
4. Mobile application
Our technician mobile app may request device permissions to function properly, including location (for routing and on-site check-in), camera (for job photos and signature capture), push notifications (for dispatch updates), and storage (for offline access to work orders). You control these permissions in your device settings, but disabling them may limit functionality.
If you download our app from the Apple App Store or Google Play, you also agree to the applicable platform's terms of service.
5. Customer data
You retain ownership of the data you and your crew submit to the Service, including customer records, job details, photos, invoices, and dispatch history ("Customer Data"). You grant Run The Crew a limited license to host, process, transmit, and display Customer Data solely as needed to provide, secure, and improve the Service.
You are responsible for the accuracy and legality of Customer Data and for obtaining any consents required to collect and share it with Run The Crew (including consent from your own customers and employees where applicable).
6. Acceptable use
You agree not to use the Service to:
- Violate any law, regulation, or third-party right.
- Upload malicious code or attempt to disrupt the Service or its underlying infrastructure.
- Access or attempt to access accounts, data, or systems you are not authorized to use.
- Send unsolicited communications to customers in violation of applicable laws (such as TCPA, CAN-SPAM, or CASL).
- Store sensitive information the Service is not designed to handle, such as payment card numbers, government-issued IDs, or health records subject to HIPAA.
- Use the Service to harass, defraud, or mislead any person.
7. Third-party services and integrations
The Service may integrate with third-party tools (for example, mapping providers, payment processors, accounting software, or SMS gateways). Your use of those tools is governed by the third party's own terms, and Run The Crew is not responsible for their availability, accuracy, or practices.
8. Early access and service changes
The Service is currently in early access. Features, pricing, availability, and performance may change, and some functionality may be incomplete or subject to bugs. We may add, modify, or discontinue features at any time. We'll make a reasonable effort to notify you of material changes that affect how you use the Service.
9. Fees and subscriptions
Early-access usage may be offered at no cost or at a promotional rate. Once the Service becomes generally available, fees will be described in an order form, plan page, or separate agreement. Unless otherwise stated, fees are non-refundable, and you are responsible for any applicable taxes.
10. Suspension and termination
You may stop using the Service at any time by closing your account. We may suspend or terminate your access if you materially breach this Agreement, if your use poses a security risk, or if required by law. On termination, your right to use the Service ends immediately. You may request an export of your Customer Data within 30 days of termination, after which we may delete it in the ordinary course.
11. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. Run The Crew does not warrant that the Service will be uninterrupted, error-free, or meet every requirement of your business. You are responsible for verifying the accuracy of dispatch routing, invoices, job records, and any other operational output before relying on it.
12. Limitation of liability
To the fullest extent permitted by law, Run The Crew will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or relating to the Service or this Agreement. Our total aggregate liability for any claim relating to the Service will not exceed the greater of (a) the fees you paid to Run The Crew for the Service in the 12 months before the claim, or (b) US $100.
13. Indemnification
You agree to defend, indemnify, and hold harmless Run The Crew and its officers, employees, and agents from any third-party claim arising out of your Customer Data, your breach of this Agreement, or your violation of applicable law.
14. Changes to this Agreement
We may update this Agreement from time to time. Material changes will be posted on this page with a new "last updated" date and, where appropriate, announced by email or in-product notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Agreement.
15. Governing law
This Agreement is governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The state and federal courts located in Delaware will have exclusive jurisdiction over any dispute, except that either party may seek injunctive relief in any court of competent jurisdiction.
